Welcome to HappeningNow (“HappeningNow,” “we,” “our,” or “us”). These Terms of Service govern your access to and use of our website, products, and services. If you do not agree to these Terms, please do not use the service.

1. Introduction

HappeningNow helps people discover and understand news from across the web. These Terms explain the rules for using the platform and the responsibilities that apply to you and to us.

2. Acceptance of Terms

By accessing or using HappeningNow, you agree to be bound by these Terms and any policies incorporated by reference, including our Privacy Policy. If you use the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

HappeningNow is a news discovery, news aggregation, intelligence, and AI-assisted editorial platform. We organize, summarize, classify, and link to reporting from original publishers to help readers navigate developing stories.

Original publishers retain ownership of their reporting. HappeningNow does not claim ownership of third-party news content; we provide organization, context, and links to the original reporting.

4. AI-Assisted Content

Some summaries, intelligence briefings, timelines, classifications, geographic indicators, and editorial signals may be generated or assisted by artificial intelligence. AI-assisted output may contain errors, omissions, or incomplete context.

When accuracy is important, please consult the original reporting and other appropriate sources before making decisions. AI-assisted content is not a substitute for professional advice or independent verification.

5. User Accounts

Some features require authentication, including saved articles and preferences. We may introduce personalization and other account-based features over time.

You are responsible for safeguarding your account credentials and for activity that occurs through your account. Please notify us promptly if you believe your account has been accessed without authorization. Core browsing may remain available without an account unless we clearly state otherwise.

6. Acceptable Use

You may browse, share links to, and use HappeningNow for lawful personal or internal business purposes. You may not:

  • Scrape, crawl, harvest, or collect platform content through automated means without our written permission
  • Abuse, probe, or make excessive requests to our APIs or other services
  • Reverse engineer, decompile, or attempt to discover the source code or underlying systems except where law does not allow that restriction
  • Bypass rate limits, access controls, or security measures
  • Interfere with the availability, integrity, or operation of the service
  • Attempt to gain unauthorized access to accounts, data, or restricted systems
  • Use the service for unlawful, harmful, or malicious activity

7. Intellectual Property

HappeningNow and its licensors own the platform, software, user interface, design, branding, AI-generated summaries, and original editorial content, except where these Terms say otherwise. Subject to these Terms, we grant you a limited, revocable, non-transferable license to access and use the service for its intended purpose.

Third-party publishers and other rights holders retain ownership of their articles, photographs, trademarks, logos, and original reporting. Nothing in these Terms transfers those rights to HappeningNow or to you.

8. Third-Party Content

External news sources remain responsible for their own reporting and content. Headlines, stories, and links may change after publication or become unavailable. We do not control third-party websites, services, or privacy practices, and your use of them is governed by their own terms and policies.

9. Advertising & Sponsorships

HappeningNow may display advertising, sponsorships, affiliate disclosures, or similar commercial material in the future. Advertising does not influence story rankings, editorial decisions, intelligence, summaries, or classifications. The presence of an advertisement or sponsor is not an endorsement by HappeningNow.

The service may link to websites and resources operated by others. These links are provided for convenience and context. We are not responsible for the availability, content, security, or practices of external sites.

11. Availability of the Service

We may add, modify, suspend, or remove features at any time, including for maintenance, security, reliability, or product evolution. We do not guarantee that the service or any feature will be continuously available, uninterrupted, or error-free.

12. Disclaimer of Warranties

HappeningNow is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.

The service does not provide legal, financial, investment, medical, emergency, or other professional advice. You use the service and rely on its content at your own discretion.

13. Limitation of Liability

To the fullest extent permitted by law, HappeningNow and its team will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or business opportunity arising from or related to your use of the service.

Where liability cannot be excluded, it will be limited to the maximum extent permitted by applicable law.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless HappeningNow and its team from claims, liabilities, damages, losses, and expenses arising from your misuse of the service, your violation of these Terms, or your violation of another person’s rights.

15. Termination

You may stop using the service at any time. We may suspend or terminate access to the service when reasonably necessary to protect the platform, users, or third parties, or when you violate these Terms. Provisions that by their nature should survive termination will survive.

16. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the service will be resolved in the state or federal courts located in Texas, unless applicable law requires otherwise.

We may update these Terms from time to time. Material changes will be reflected by an updated date on this page. Your continued use of HappeningNow after updated Terms take effect means that you accept them.
